PREAMBLE
The purpose of this preamble is to put forth in plain language the terms
of this license. The Heraclitean Biology Group is an international association
of equals pursuing the advancement of scientific and educational goals.
In furtherance of those goals and to promote the Heraclitean Biology
Group's stated aim of free discussions, the intent of this document
is to grant each member a license to use each other member's material
on the heraclitean.com web site. Each member retains his or her individual
copyright and other intellectual property rights under international
and United States law in material he or she publishes on the web site.
Each member agrees not to offer material which will infringe on non-members
rights.
COPYRIGHT LICENSE AGREEMENT
among
The Membership of the
Heraclitean Biology Group
Effective as of June 1999
Relating to text and graphics published on the heraclitean.com web site
ARTICLE I -- GRANTS OF LICENSES
1.01 Grant
Each member of the Heraclitean Biology Group grants to the other members
of the group, and the organization as a whole, royalty-free, nonexclusive
and nontransferable licenses for use on the web site of copyrightable
text and graphics submitted and accepted for publication on the Heraclitean
Biology Group web site.
1.02 Duration
All licenses granted herein shall continue for the entire unexpired
term of such copyright.
1.03 Scope
(a) The licenses granted herein are licenses to copy material and create
derivative works based on material published on the Heraclitean Biology
Group web site for publication on the Heraclitean Biology Group web
site. This includes quoting commentary by other members in any discussion
forums on the Heraclitean Biology Group web site.
(b) Licenses granted herein are solely for works published on the Heraclitean
Biology Group web site for the Heraclitean Biology Group web site.
1.04 Ability to Provide Licenses
(a) Each member warrants that there are not commitments
or restrictions which will limit the licenses and rights which are purported
to be granted here.
(b) Each member warrants that he or she is an author of the material
he or she provides or
(c) Each member warrants that the material,
in the form to be delivered to the web page, will not infringe any copyright,
trade secret or other proprietary rights of any third party.
ARTICLE II -- TERMINATION
2.01 Voluntary Termination
By written notice to the other Heraclitean Biology Group members, any
member may voluntarily terminate all or a specified portion of the licenses
and rights granted to that member hereunder.
2.02 Survival
Any termination of licenses and rights of a member under the provisions
of this Article II shall not affect such member's licenses, rights and
obligations with respect to any copyrightable material made prior to
such termination, and shall not affect the other members' licenses and
rights (and obligations related thereto).
ARTICLE III -- MISCELLANEOUS PROVISIONS
3.01 Disclaimer
No member makes any representations, extends any warranties of any kind,
assumes any responsibility or obligations whatever, or confers any right
by implication, estoppel or otherwise, other than the licenses, rights
and warranties herein expressly granted.
3.02 Nonassignability
The parties hereto have entered into this agreement in contemplation
of personal performance, each by the other, and intend that the licenses
and rights granted hereunder to a party not be extended to entities
other than members of the Heraclitean Biology Group.
3.03 Choice of Law
The law of Maryland shall apply in any dispute arising with respect
to this agreement.
3.04 Integration
This agreement sets forth the entire agreement and understanding among
the members as to the subject matter hereof and merges all prior discussions
among them.
